The President shall be the Chief Executive Officer of the Council and, subject to the control of the Board of Directors, shall in general supervise and control all of the business and affairs of the Council. He/she shall, when present, preside at all meetings of the Council. He/she may sign, with the Secretary or any other proper Officer of the corporation authorized by the Council, any deeds, mortgages, bonds, contracts, or other instruments which the Council has authorized to be executed, except in cases where the signing and execution thereof shall be expressly delegated by the Council or by these Bylaws to some other Officer or agent of the Council, or shall be required by law to be otherwise signed or executed; and in general he or she shall perform all duties incident to the office of President and such other duties as may be prescribed by the Board of Directors from time to time.
There shall be one Vice President. The Vice President shall be empowered to act, including presiding at meetings and otherwise fulfilling the duties and office of the President in the absence or disability of the President.
The Secretary shall keep the minutes of the proceedings of the Council in one or more minute books provided for that purpose and see that all notices are duly given in accordance with the provisions of these Bylaws or as required by law. He/she shall be custodian of the corporate records and of the seal of the Council and see that the seal of the Council is affixed to all documents, the execution of which on behalf of the Council under its seal, is duly authorized. The Secretary shall also keep a register of the email address of each Member which shall be furnished upon request to the Secretary by such Member; and the Secretary will in general perform all duties incident to the office of the Secretary and such other duties as from time to time may be assigned to him/her by the President, the Board of Directors or by the Council.
The Treasurer shall keep full and accurate account of the receipts and disbursements in books belonging to the Council, and shall deposit all monies and other valuable effects in the name and to the credit of the Council in such National Bank or Banks as may be designated by the Council, but shall not be personally liable for the safekeeping of any funds or securities so deposited in an authorized depository. He/she shall disburse the funds of the Council as may be ordered by the Council, the Board of Directors and/or the Executive Committee, and shall render to the President and Council at the regular meetings of the Council, and whenever they may require accounts of all his transactions as Treasurer and of the financial condition of the Council. He/she shall perform the duties usually incident to the office of Treasurer and such other duties as may be prescribed by the Board of Directors or by the President.
